Terms of Service

1. Acceptance of Terms

By accessing or using TheDepot by gregari.us LLC ("the Service"), you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a school, district, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Description of Service

TheDepot provides electronic document archiving, data warehousing, and record retrieval services primarily for student permanent records and related institutional documentation.

3. Client Responsibilities

Clients are responsible for:

• Maintaining the confidentiality of account credentials.
• Ensuring all data uploaded to the Service is legally obtained and compliant with applicable laws.
• Providing accurate instructions for record retention and disposal.

4. Data Ownership and Privacy

The client institution retains all ownership, right, and title to the student records and data archived in the Service. Our use of this data is governed by our Privacy Policy and FERPA regulations.

5. Service Availability

We strive to maintain high availability for the Service; however, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance whenever possible.

6. Limitation of Liability

To the maximum extent permitted by law, gregari.us LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the Service.

7. Termination

Either party may terminate the Service agreement upon written notice. Upon termination, gregari.us LLC will provide a secure export of all archived data to the client, after which the data will be securely purged from our systems.

8. Governing Law

These terms shall be governed by and construed in accordance with the laws of the state in which gregari.us LLC is registered, without regard to its conflict of law provisions.
